1099-B; Where do I report this info?


I have a 1099-B from my bank. This is the result of owning stocks offered by the bank, for which I used to get a 1099-DIV. But last year the bank was bought by another company, and now I get no 1099-DIV, but a 1099-B instead.

The info on my 1099-B:
"Description" (Box 7): Cash-in-Lieu
"Gross Proceeds" (Box 2): 20.08.

That's all.

In the instructions for Form 1040, on the page titled, "Where to Report Certain Items...," the directions for 1099-B say, "See the instructions on Form 1099-B." The instructions on Form 1099-B don't tell me anything about where to put these numbers!

What does "Cash-in-lieu" mean? Where do I put this $20.08 on my return? Do I need Schedule D or not?

I've done my own taxes for years, but this is the first 1099-B I've ever had, and it's completely alien to me!

What happened is when your bank was acquired by the other bank, your stock in the first bank was redeemed and you were issued stock in the other bank. The cash-in-lieu resulted from the fact that the value of your stock in the first bank did not translate exactly into full shares into the new bank. Therefore, you received cash for the difference since they could not issue you a fractional share.

The cash-in-lieu was reported to you on the 1099-B, therefore it has to be reported on Schedule D. Typically, you report the cash-in-lieu proceeds as the sales proceeds and the basis will be zero, so the entire amount is subject to tax. For the shares in the new bank that you own, your basis will be your original cost basis of the stock in the old bank.

To illustrate this, say you own 10 shares of stock in a company. The company is acquired and the the acquisition price in the buyout is $5 a share. So your 10 shares is worth $50. If the acquiring company's stock is worth $12 a share on the acquisition date, they will give you 4 shares of the stock in their company. This translates to $48. Since this is less than the $50 your original stock is worth, they pay you the remaining $2 as cash-in-lieu since they can only give you full shares in their company.

    Welcome to the wonderful world of weight vests, Mr. Norris–they're nifty, aren't they?

    I used to take 4-mile hikes around my neighborhood wearing a 16-lb weight belt from Title Boxing plus a knapsack loaded to about 25 lbs. until my orthopedist warned me last fall to lay off sustained knee-pounding activity lest I wind up needing a knee replacement a lot sooner than I would like (I'm only 49 and want to put something like that off as long as I can).

    So I decided to go with more intensity in less time, sort of CrossFit style, and bought a 40-lb. plate-loaded vest on eBay:

    (A word of warning: You have to supply your own 5-lb. plates, and finding ones that are actually small and thin enough to load the vest to 40 lbs. was a chore–I had to order them through a local Gym Source store.)

    I live in a 4th-floor condo, with a back staircase that has 48 steps. Just did 10 rounds up and down wearing the vest plus a 1-lb. weight on each shoe (another eBay find) in about 12 minutes by my current crude timing device (my cellphone).

    I don't run, just walk with as much forceful intensity as I can muster. Then I threw in some hassock squats and 20″ step ups for good measure. It's much easier on the knees than a long, weight-bearing stroll, and gives a man that good ol' jelly-legged feeling. I also find that the short vest, b/c it rides fairly high, stimulates lower-back activation and forces the other trunk stabilizers to get into the act as well.

    As I get fitter, I will add the 16-lb. belt to the mix, plus maybe ankle weights eventually. Should be fun.
